Distribution Agreement Shell

Our global retail business uses a number of operating system platforms; invested (owned by the company) and not invested (distributors, brand wholesalers, brand licensing agreement). Shell owns assets and manages sales on the invested operating platform. On un invested platforms, assets and operations are managed by the distributor, wholesaler or licensee. These models allow the company to optimize performance depending on the country in which we operate. They have been cooperating since 2004 and the new contract will strengthen Certas Energy`s position as Shell`s largest distributor of contract lubricants in the UK. In April 2016, we completed the sale of our marketing business in Denmark to Couche-Tard. The sale included our retail, commercial fuel, commercial fleet and air transportation businesses, as well as our distribution activities related to these businesses. The Shell brand will remain visible in the country through a brand licensing agreement and the lubricants will continue to be supplied through a separate distribution agreement.

In 2015, we completed the sale of our retail business in Norway to ST1 Nordic Oy (ST1). The Shell brand will remain visible in Norway thanks to a licensing agreement for private labels. We have also completed the sale of 185 gas stations across the UK to independent merchants. All gas stations retain the Shell brand and sell Shell fuels. In 2015, we signed a five-year global contract with BMW for Shell Lubricants as the sole supplier of after-sales lubricants in 53 countries. 5.2 The buyer must place all orders to Shell by sending orders to www.shell.com/eserve or to the customer`s address, to any other address or other, which Shell may communicate from time to time in accord with Shell`s requirements for method, format, delivery time and all other relevant arrangements communicated to the buyer from time to time. Shell Marine is constantly checking its distribution network, which has gradually expanded, with boat lubricants that are now available in more than 700 ports in 60 countries. Shell has extended its agreement with Ducati for all Ducati motorcycles manufactured in the bologna (Italy) and Rayong (Thailand) plants by 3 years. In the absence of a delivery agreement signed on behalf of Shell and the purchaser, all products and services are delivered in accordance with Shell`s following terms and conditions of delivery and (if applicable) the promise of delivery (along with this “agreement”). Without restriction, place an order (which will be accepted later by Shell) and/or raise and/or accept the product means acceptance of this Agreement and cancel all other conditions submitted by the Buyer.
